Please read these Terms carefully. By accessing or using FarmSphere, you agree to be bound by these Terms of Service. If you do not agree, you must not use the platform.

1. Acceptance of Terms

By accessing or using the FarmSphere platform at www.farmsphere.ag or app.farmsphere.ag, you agree to these Terms. If you act on behalf of an organisation, you confirm authority to bind that organisation.

2. Definitions

  • "Platform" — FarmSphere website, application, and associated services
  • "Farmer" — a user accessing agricultural services through the platform
  • "Provider" — a user offering mechanisation or agricultural services
  • "Cattle TracePro" — the dedicated livestock and feedlot management module
  • "Escrow" — arrangement by which FarmSphere holds payment funds pending service completion

3. Eligibility

You must be at least 18 years old with legal capacity to enter binding agreements. FarmSphere reserves the right to refuse access to anyone who does not meet these criteria.

4. Account Registration

You agree to provide accurate, current information when registering. You are responsible for maintaining confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorised access.

5. Use of the Platform

FarmSphere provides digital infrastructure to connect agricultural stakeholders. You agree to use it only for lawful purposes. You must not misuse, interfere with, or attempt unauthorised access to the platform or other accounts.

6. Farmer Terms

  • Provide accurate farm and field data when requesting services
  • Ensure fields are accessible and prepared before service dates
  • Confirm service completion honestly and promptly
  • Not withhold escrow funds unreasonably or in bad faith

7. Service Provider Terms

  • Provide accurate information about equipment, qualifications, and capabilities
  • Hold all required licences, permits, and insurance
  • Complete services to the standard described in your listings
  • Only accept bookings you are genuinely able to fulfil
  • Ensure all equipment is in safe, suitable working condition

8. Cattle TracePro Terms

Users agree to: provide accurate animal records; use the module only for legitimate livestock management; maintain confidentiality of performance and financial data; and comply with applicable livestock traceability and animal health regulations.

9. Payments & Secured Transactions

When a farmer books a service, the total payment is collected via mobile money (EcoCash, M-Pesa, InnBucks, OMoney) and held in escrow. Upon confirmed service completion, FarmSphere releases the provider's payment. Disputes are reviewed within 5 business days. FarmSphere is not responsible for delays caused by third-party payment providers.

10. Platform Fees

FarmSphere charges a 5% platform fee on each completed booking. This fee is shown transparently at checkout and deducted from the amount disbursed to the provider. Subscription fees are as agreed in your subscription plan. Fees may change with reasonable notice.

11. Prohibited Conduct

  • Posting false or misleading listings, reviews, or user profiles
  • Circumventing platform payment or booking systems
  • Harassing, threatening, or abusing other users
  • Fraudulent bookings or escrow manipulation
  • Collecting user data without authorisation
  • Using the platform for any illegal purpose

12. Intellectual Property

All platform software, design, and branding are owned by or licensed to FarmSphere. You may not reproduce or create derivative works without prior written consent. By submitting data, you grant FarmSphere a licence to use it to operate and improve the platform.

13. Limitation of Liability

FarmSphere is an intermediary marketplace and is not responsible for the quality or outcome of agricultural services, or for indirect or consequential damages. To the maximum extent permitted by law, our liability is limited to fees paid to us in the 12 months preceding any claim.

14. Termination

You may close your account at any time by contacting us. FarmSphere may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or where required by law.

15. Governing Law

These Terms are governed by applicable law. Disputes shall be subject to the jurisdiction of the competent courts in the relevant territory. We encourage direct resolution before formal proceedings.

16. Changes

We may update these Terms periodically. Material changes will be communicated by email and by updating the effective date. Continued use after changes constitutes acceptance.
